Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the services provided by Melodex (“Melodex”, “we”, “us”, “our”), including music production, audio branding, sound design, jingles, licensing-related deliverables, revisions, and any associated communications or files (collectively, the “Services”). By requesting, purchasing, commissioning, or using our Services, you agree to be bound by these Terms.
1. Scope of Services
Melodex provides custom audio deliverables which may include original music compositions, edits, mixes, masters, stems, loops, sonic logos, UI/UX sound sets, and related audio assets (“Deliverables”). The exact scope, formats, timelines, and pricing are defined in your agreed project brief, quote, invoice, order summary, or written communication accepted by both parties (“Project Agreement”). If any term in the Project Agreement conflicts with these Terms, the Project Agreement controls for that project only.
2. Client Responsibilities
You agree to provide accurate project information and timely feedback. This includes creative references, brand guidelines, usage context, required durations, technical specs, platform constraints, and deadlines. Delays caused by missing information, late approvals, or changes in requirements may shift the timeline. You are responsible for ensuring you have rights to any third-party materials you provide (e.g., voiceovers, video, lyrics, samples, or trademarks).
3. Quotes, Orders, and Project Start
Quotes are valid for a reasonable period unless stated otherwise. A project begins when we receive the required deposit or full payment (as applicable) and a confirmed Project Agreement. We may schedule work based on availability. “Rush” timelines, if accepted, may require additional fees.
4. Creative Process, Revisions, and Approvals
Our workflow typically includes concept direction, a first demo, feedback cycles, and finalization. Unless stated otherwise in your Project Agreement, revisions are limited to reasonable adjustments that align with the originally approved direction (e.g., balance, arrangement tweaks, instrument changes, intensity, timing, edit points).
Requests that materially change the scope—such as new musical direction after approval, new durations or alternate versions, new deliverable types, substantial re-arrangements, or additional platform-specific exports—may be treated as change requests and billed separately. Approvals communicated in writing (including simple confirmation messages) are considered final sign-off for that stage.
5. Delivery Formats
Deliverables may be provided in common audio formats (e.g., WAV, AIFF, MP3) and, where applicable, stems or alternate mixes. The default resolution and loudness targets depend on the intended use (streaming, advertising, apps, games, broadcast, web). If you need specific technical targets (sample rate/bit depth, LUFS, true peak, mono compatibility, loop points), provide them up front.
6. Intellectual Property and Licensing
Unless explicitly agreed otherwise, Melodex retains ownership of underlying project files, session files, and production templates. Upon full payment, you receive the usage rights described in the Project Agreement. Rights may include a license to use the Deliverables for specified media, platforms, territories, and duration.
Where “sync licensing included” is stated in your Project Agreement, the included license covers the authorized synchronization and use of the Deliverable with your content as described. Any expanded usage (new campaigns, additional territories, paid media scale, broadcast networks, or extended term) may require an updated license.
7. Client Materials and Third-Party Rights
If you supply vocals, recordings, scripts, samples, or other content, you represent that you have all necessary rights and permissions. Melodex is not responsible for claims arising from materials you provided. If a project requires clearing rights (e.g., for third-party samples), you are responsible for clearance unless we explicitly agree to handle it in writing.
8. Portfolio Use
Unless you request confidentiality in writing before project start, you grant Melodex permission to display excerpts of completed work for portfolio and promotional purposes after public release of the associated campaign or product. If your project requires NDA-level confidentiality, we can accommodate that under a separate written agreement.
9. Fees, Taxes, and Late Payments
Pricing is defined in the Project Agreement. Taxes, transaction fees, or platform fees may apply depending on payment method and jurisdiction. Late payments may pause work and delay delivery. If a project is paused for an extended period due to non-payment or missing approvals, reactivation may require rescheduling and/or additional fees.
10. Cancellations
If you cancel a project after work has started, you remain responsible for payment for work completed and non-recoverable time booked. Deposits may be non-refundable depending on the project stage and resource allocation. See the Refund Policy for additional information.
11. No Guarantees
Creative work is inherently subjective. While we aim for high-quality outcomes aligned with your brief, we cannot guarantee specific commercial results, platform performance, conversion metrics, or audience response.
12. Limitation of Liability
To the fullest extent permitted by law, Melodex is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or loss of data. Our total liability for any claim relating to Services is limited to the amount paid by you for the project giving rise to the claim.
13. Indemnification
You agree to indemnify and hold Melodex harmless from claims, damages, liabilities, and expenses arising from your use of Deliverables, your provided materials, or your violation of these Terms or third-party rights.
14. Governing Principles and Dispute Handling
We prefer to resolve disputes informally and quickly. If a concern arises, contact us with details and allow a reasonable period to investigate and respond. Any formal disputes will be handled according to applicable law and in the venue consistent with our business operations, unless otherwise required by law.
15. Changes to Terms
We may update these Terms from time to time. The “Last updated” date reflects the current version. Changes apply prospectively and do not alter existing Project Agreements already in progress unless mutually agreed.
